Particulars of the above amount are stipulated in the Schedule of Price Appendix 1. Portex House Newburn Bridge Road Blaydon Tyne and Wear NE 21 4TE U.K. 电 话.0044 191 4990882 传 真.0044 191 4990883 The “Site” means Coal Mine, Anhui Province. “现场”指安徽省淮南 煤矿 2.Technical Specifications技术规格 The Technical Specifications of the Goods to be supplied and delivered shall be in conity with those specified in the Technical Specifications and other appendices of the Contract. 提供和交付货物的技术规格应与技术规格附件和其他附件上规定的相一致。 3.Patent Rights专利权 The Seller shall indemnify the Buyer against all third party claims of infringement of patent, trademark or industrial design rights arising from use of the Goods or any part thereof in the P. R. China. The Seller shall be responsible for any loss incurred thereof on the Buyer. 卖方保证买方在中国使用该货物不受到第三方提出的侵犯其专利权、商标权或工业设计权索赔的影响。 4. Time of Delivery装运时间 The time of arrival of the Goods under the Contract is before May 15th 2007 at the Shanghai Seaport of China specified in the Schedule of Delivery, Appendix 2. 本合同下货物的到达中国上海港的时间见附件2交货期表。 5.Port of Shipment and Destination装运港和目的港 Port of shipment under the Contract shall be UK main seaport, Port of Destination shall be Shanghai, P .R. China. 本合同交货港口为英国主要海港，到货港为中国上海港。 6.Packing包装 6.1Unless otherwise specified in the Contract, the supplied Goods shall be packed to export standard protective measures. Such packing shall be suitable for Long-distance ocean and inland transportation and well- protected against dampness, moisture, freezing, shock, rust and rough handling so as to ensure that the Goods will safely arrive at the site without any damage due to the above – mentioned reasons. The Seller shall be liable for any rust , damage and over weighted / over dimensioned, the seller shall be responsible for additional cost occurred therefrom. 除合同中另有规定外，合同项下货物应采用出口规格的包装及防护措施。此包装应适合长途海运及陆运并不受潮湿、冷冻、颠簸、锈蚀、和粗暴装卸之损失，保证货物到达现场时不受上述原因的影响。卖方应对货物出现锈蚀及损坏、超大、超重件负责，并担负由此产生的额外费用。 6.2In each package, there shall be one copy of each of the detailed packing list and the inspection certificate. 在每一包装件中应附有一份详细的箱单和检验证书。 6.3 If containers are use, the containers larger than 8 X 8 X 40 cu ft shall not be accepted. The Buyer shall be allowed to transport the containers if any from the port of the destination in the PRC to the mine site and shall not be responsible to return the containers to the Seller; or the containers shall be opened at the port of destination and returned to the shipping agent who is responsible to return the containers to the Seller. The individual packages contained in the containers shall be suitable for rail transportation and lorry or trucks and be packed as required above. All packages shall be marked and the contents listed to facilitate such orderly distribution. 当采用集装箱运输时，大于8 X 8 X 40 （英尺）的集装箱将不宜采用。买方可以将货物用集装箱从到货港运到现场，而不负责将空箱还给卖方；或者，集装箱在到货港开箱后，将空箱返还给船代理，由船代理将空箱返还给卖方。集装箱中每一件货物的包装应符合上述包装要求适合铁路和公路运输。每件包装应标注清楚，以便分发方便。 6.4 The goods supplied shall be packed seaworthy and fit for transshipment and inland transportation. Where necessary, heavy parts shall be mounted on skids so that slings can be readily attached in unloading and loading. If it is unsafe to apply external sling to a package, attached slings, eyebolts or lifting devices shall be provided and shall project through the package for easy handling. 合同货物应包装成适合海运并适合转运和内陆运输。如有必要，对于重型包装应采用托架以便在装卸货物时，运用吊具。如不便在外部采用吊具，包装上应提供固定的吊具和带孔螺栓或起吊装置以方便起吊搬运。 6.5 Due to the railway and bridge limitation, the dimensions of each individual package to be shipped shall be limited to Length 12.5 m Width3.0 m Height3.0 m Weight 25 metric tons 由于铁路及桥梁的限制，每一单独包装的货物尺寸应不超过下列尺寸 长12.5米 宽3.0米 高3.0米 重25吨 6.6 Mentions shall be made before delivery if any individual package is expected to have to exceed such limits, to enable the Buyer to explore the possibility of handling such extra size. Failing to do so, all expenses arising therefrom including but not limited to the cost for dismantling and making necessary arrangement for handling such large pieces shall be borne by the Seller. 如单个包装尺寸、重量超过上述限制，卖方应在发货前提前通知，以便买方提前作好内陆运输可行性的考察。如卖方没能提前通知，所有分解超大件和额外处置超大件的费用，将由卖方支付。 7. Shipping Mark唛头 1. The Seller shall mark the following on the four adjacent sides of each package with indelible paint in conspicuous English printed words. If any package weighs two 2 tons or more, the Seller shall mark on the two sides of each package in English and with appropriate transportation marks in international foreign trade to show the “center of gravity“ and “points of slinging“ in order to facilitate loading, discharging and handling. According to the characteristics of the goods and the different requirements in transportation, packages shall be marked legibly by the Seller with the words “Handle With Care“, “Right Side Up“, “Keep Dry“, etc., and with other appropriate international trademarks. All wooden boxes should be marked with IPPC stamps. 如果有重量超过2吨的包装，卖方应在每个包装的两个侧面上用英文和国际贸易通用的适当的运输标识标出 “重心点”和“起吊点”以便于装卸和转运。根据货物的特性和运输的要求，包装箱上应清楚的表明“小心轻 放”、“此侧向上”、“防潮”等，并辅以适当的国际贸易标识。 所有包装木箱上应有IPPC标志。 8. Terms of Shipment运输条款 8.1 The Seller shall, sixty 60 days before the time of each shipment stipulated in the Contract, notify the Buyer by fax of Contract No., estimated total volume, total weight, and number of packages. 卖方应于合同规定的每次交货期前60天以传真通知买方合同号、估计的总体积、总重量以及包装箱数量。 8.2 The seller shall be responsible for booking shipping space and arranging the shipment and shall pay for freight and insurance, so as to ensure that the goods will be delivered according to the schedule stipulated in the contract. 卖方负责预定船舶舱位并安排装运，支付运费和保险，确保货物按合同规定的交货期交货。 8.3 The Seller shall, thirty 30 days before the time of each shipment stipulated in the Contract, notify the Buyer by fax or express mail of Contract No., name of Goods, number of package, quantity, total gross weight, total volume cubic meters, and each package dimension Length X Width X Height and weight, total value of shipment, port of shipment, date of readiness for shipment and any special requirements and attention for the Goods during transportation and storage. In case of hazardous cargo, the Seller shall advise the Buyer by fax or by separate express mail at the same time of the nature of hazard, special attentions for transportation and measures to be taken in case of accident, etc. 卖方应于每次发货前30天以传真或快递通知买方合同号、货物名称、包装箱数量、货物数量、毛重、总体积（立方米）、每个包装箱的尺寸（长X宽X高）和重量、该批货物的价值、发货港、货物备齐日期，以及其它在运输和仓储中的特殊要求或注意事项等事宜。如有危险货物，卖方应以传真或单独的快递通知买方货物性质、运输的注意事项，以及发生事故时应采取的措施。 In case the ination provided is not accurate which leads to problem during loading and unloading, and transportation, the Seller shall be responsible for that. 如果因卖方提供的信息不准确而造成装卸过程中的问题，卖方应对此负责。 8.4 In case that any Goods which are normally to be shipped on deck, the Seller shall be responsible for their proper packing and take special protective measures. 如果有按照惯例放在甲板上运输的货物，卖方应提供适当的包装并采取特殊保护措施。 8.5 The date of bill of lading shall be actual date of shipment of the Goods. 提单上的日期为货物的实际交货日。 8.6 The Seller shall bear risks of the Goods, loading fee before it passes over the vessel’s rail and is released from the tackle. After it has passed over the vessel’s rail and been released from the tackle, risks of the Goods shall be for the Buyer’s account. The Seller shall bear all expenses before the goods arrived at the port of destinationincluding freight charges, insurance fee. All expenses emerged after the goods arrived at the port of destination shall be for the Buyer’s account.卖方要承担货物越过船舷前及脱钩前所有的风险。买方则要承担货物越过船舷并脱钩后的所有风险。卖方承担货物运抵买方目的港前的所有费用（包括运费、保险），买方承担货物到达买方目的港后的所有费用。 8.7 The Seller shall not ship goods that are not covered by the Contract. If so, the Buyer shall not be responsible for the payment of such shipment. The Seller shall be responsible for all the consequences and costs raised from the shipment. 卖方不得装运超出合同范围的货物，否则买方对超出部分不付款，其一切费用和后果由卖方承担。 8.8 The Seller shall be responsible for nominating the forwarder for export procedure. 卖方负责指定办理出口事宜的代理人。 9.Insurance 保险条款 Insurance under the contract is to be effected by the Seller in a freely convertible currency for one hundred and ten percent 110 of the contract value on “all risks” and “war risk” basis in favour of the Buyer. 合同项下的保险由卖方代替买方投保，投保货币为可自由兑换货币，投保额为合同金额的110。险种为“所有险”和“战争险”。 10.Shipping Advice装运通知 The Seller shall, within two 2 working days after completion of the loading of the Goods, notify the Buyer by fax of Contract No., name of Goods, number of cases, gross weight and volume of each case, each package dimension length X width X height, invoice value, pro a invoice number and name of carrying vessel, port of shipment and the approximate date of its sailing. 卖方应在装船后2个工作日内以传真通知买方合同号、货物名称、包装箱数量、每箱毛重和体积、每箱尺寸（长X宽X高）、发票金额、形式发票号、船名、发货港以及起航日
